These Terms of Service ("Terms") are a binding legal agreement between ConPM LLC, a New Hampshire limited liability company ("ConPM LLC", "we", "us", or "our") and the person or entity ("Customer", "you", or "your") that accesses or uses the ConPM platform, websites, mobile applications, APIs, and related services (collectively, the "Service"). By clicking "I agree," creating an account, accessing, or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "Customer" refers to that entity. If you do not agree to these Terms, you may not access or use the Service.
Subject to your compliance with these Terms and timely payment of all fees, ConPM LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license during your active subscription term to access and use the Service for your internal business purposes related to construction project management. All rights not expressly granted are reserved by ConPM LLC.
You must provide accurate, complete registration information and keep it current. You are solely responsible for all activity occurring under your account and for maintaining the confidentiality of all login credentials. Company administrators are fully responsible for the conduct of every Authorized User they invite, including their compliance with these Terms. You must notify ConPM LLC immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard credentials.

We may investigate any suspected violation and may suspend, restrict, or terminate access without notice if we determine in our sole discretion that a violation has occurred or is likely to occur. You will indemnify us for any damages, fines, fees, or losses arising from your breach of this Section 3.
Paid subscription plans include allowances for storage, data transfer, AI assistant usage, and other metered resources sized for a typical construction firm on the same tier. We reserve the right, in our sole discretion and with or without prior notice, to throttle, rate-limit, suspend, or assess overage fees for any account whose usage materially exceeds typical usage (for example, exceeding 3× the median usage for that tier in any billing month). Suspected abuse, automation, scraping, or resale may result in immediate suspension. ConPM LLC is not liable for any loss arising from such actions.
Paid subscriptions are billed in advance on a per-seat or per-tier basis through our payment processor (Stripe, Inc.). You authorize ConPM LLC and our payment processor to charge your selected payment method on a recurring basis for all fees due. Subscriptions automatically renew at the then-current rate at the end of each billing period unless canceled before the renewal date. If a charge fails, we may suspend or terminate the Service without notice. All fees are non-refundable except as expressly required by law. We do not provide refunds, credits, or proration for partial billing periods, unused features, downgraded plans, canceled accounts, or periods of unavailability. We may change pricing at any time effective on your next renewal, with notice provided by email or in-product. Continued use after a price change constitutes acceptance. Customer is responsible for all applicable taxes other than ConPM LLC's own income taxes.
Any free trial is provided for evaluation only and may be modified, suspended, or terminated by ConPM LLC at any time. Unless canceled before the trial ends, your account will downgrade to the Starter plan automatically. ConPM LLC makes no warranties regarding trial functionality.
As between the parties, you retain all rights, title, and interest in and to the projects, drawings, files, messages, and other content you submit to the Service ("Customer Data"). You grant ConPM LLC a worldwide, royalty-free, non-exclusive license to host, copy, store, process, transmit, display, and create derivative works of Customer Data solely as necessary to (a) operate, secure, and improve the Service for you, (b) prevent or address fraud, abuse, or security issues, (c) comply with law or valid legal process, and (d) generate aggregated, de-identified analytics that do not identify you or any individual. ConPM LLC will not sell Customer Data and will not use Customer Data to train third-party AI foundation models.
You represent and warrant that (i) you own or have all necessary rights, licenses, and consents to provide Customer Data to the Service, (ii) Customer Data does not infringe any third-party right, and (iii) your use of Customer Data through the Service complies with all applicable law. You are solely responsible for the accuracy, quality, integrity, legality, and reliability of all Customer Data.
ConPM LLC and its licensors own all right, title, and interest in and to the Service, including all software, models, prompts, designs, trademarks, logos, documentation, and all improvements, derivative works, and feedback. No rights are granted by implication, estoppel, or otherwise. Any feedback, suggestions, or ideas you provide regarding the Service may be used by ConPM LLC without restriction or compensation.
The Service includes AI-powered assistants and automated content generation features ("AI Features"). AI Features rely on probabilistic models, can produce inaccurate, incomplete, or misleading output ("hallucinations"), and may not reflect current standards, codes, regulations, or site conditions. Output from AI Features is provided for informational purposes only and does not constitute engineering, architectural, legal, financial, accounting, safety, medical, or any other professional advice. You must independently verify all AI-generated content with qualified licensed professionals before relying on it for any decision, design, bid, submittal, contract, regulatory filing, or safety-critical determination. You assume all risk arising from your use of AI Features. ConPM LLC expressly disclaims any liability for decisions, actions, or omissions you take in reliance on AI Features.
The Service relies on or interoperates with third-party services and subprocessors (including, without limitation, Clerk for authentication, Stripe for payments, Replit for hosting and object storage, and Anthropic, OpenAI, or other AI providers). Your use of third-party services is governed by the applicable third party's own terms and privacy policy. ConPM LLC is not responsible for, and disclaims all liability arising from, the acts or omissions of third parties, including outages, errors, data loss, or security incidents originating with them.
Features designated as "beta," "preview," "experimental," or similar are provided AS IS for evaluation only, may be unstable or modified without notice, are not subject to any service level commitment, and may be discontinued at any time without liability.
We strive to keep the Service available but do not warrant uninterrupted, error-free, or secure access. We may perform scheduled or emergency maintenance, deploy updates, modify or remove features, or change the Service at any time. ConPM LLC is not liable for any loss arising from downtime, degraded performance, or feature changes. No service level agreement applies unless expressly agreed to in a separately signed written contract.
We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason or no reason, with or without notice, including for (a) actual or suspected violation of these Terms, (b) failed payment, (c) suspected fraud or abuse, (d) legal or regulatory requirement, or (e) risk to ConPM LLC, other customers, or third parties. You may terminate by canceling your subscription through the in-product billing controls. On termination for any reason, all fees previously paid are non-refundable, all licenses granted to you immediately cease, and we may delete Customer Data after thirty (30) days unless retention is required by law. You are responsible for exporting any Customer Data you wish to retain before the retention period ends. Sections 3, 5, 7, 8, 9, 13–22 survive termination.
THE SERVICE, INCLUDING ALL AI FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONPM LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, OR THAT THE SERVICE WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE. NO ADVICE OR INFORMATION OBTAINED FROM CONPM LLC OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONPM LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, BIDS, CONTRACTS, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL CONPM LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO CONPM LLC FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE PARTIES AGREE THAT THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN AND APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STATUTE, OR OTHERWISE).
You will defend, indemnify, and hold harmless ConPM LLC and its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, demands, suits, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to (a) your or any Authorized User's use of the Service, (b) Customer Data, (c) your breach of these Terms or violation of any law or third-party right, (d) your reliance on AI Feature output, or (e) any decision, design, bid, contract, filing, or safety-related action taken in connection with the Service. ConPM LLC reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us; you agree to cooperate fully in such defense.
Each party may receive non-public information from the other ("Confidential Information"), including the Service's non-public features, performance, pricing, and roadmap (which are ConPM LLC's Confidential Information). Each party will protect the other's Confidential Information with the same degree of care it uses for its own (and no less than reasonable care), and will use it only to perform under these Terms. This obligation survives for three (3) years after termination.
These Terms are governed by the laws of the State of New Hampshire, U.S.A., without regard to its conflicts-of-law principles. Subject to Section 19, the parties consent to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, New Hampshire for any matter not subject to arbitration, and waive any objection to such venue. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS. Except for (a) claims for injunctive or equitable relief, (b) claims regarding intellectual property infringement, or (c) small-claims court actions, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, conducted in Hillsborough County, New Hampshire (or by videoconference at ConPM LLC's election). Judgment on the award may be entered in any court of competent jurisdiction. You and ConPM LLC agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You waive any right to a jury trial. If this Section 19 is found unenforceable as to any claim, that claim must be brought in the courts identified in Section 18, but the remainder of this Section 19 remains in effect.
ConPM LLC is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, governmental action, pandemic, natural disaster, internet, telecommunications, hosting, or third-party-service failures, or denial-of-service attacks.
You represent that you are not (and are not acting on behalf of any person who is) located in, ordinarily resident in, or organized under the laws of any country or territory subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list. You will comply with all applicable U.S. and foreign export, re-export, and sanctions laws.
